AI Agent Plan Service User Agreement
This Agreement is a valid contract between SwitchBot (the provider and operator of SwitchBot products/services; hereinafter "SwitchBot", including SWITCHBOT Inc., Wonderlabs Inc., and their parent, subsidiary, and affiliated companies) and any entity using the AI Agent Plan service (including, but not limited to, individuals and teams; hereinafter "User") regarding the User’s use of and access to the AI Agent Plan services. This Agreement applies to any AI Agent Plan services provided by SwitchBot (the "AI Agent Plan Service" or "Service"), including upgrades and updates to the services and software used by Users during the term of this Agreement. By using any part of the Service, you accept all terms of this Agreement.
SwitchBot respects the protection of Users’ personal information. Please read the "AI Hub Privacy Policy" to understand the policies and procedures governing the collection and use of personal information associated with this feature.
Definitions used in this Agreement:
App: an application provided by SwitchBot that can connect to SwitchBot products or services.
SwitchBot AI Hub: a gateway device provided by SwitchBot.
1. Service Description and Usage Notes
1.1 The Service is a network value-added service that Users must enable/subscribe to within the App. The Service is provided by SwitchBot and leverages OpenClaw capabilities to deliver event analysis, content generation, and related functions; some intelligent capabilities may be supported by third-party model providers. Fees for the Service are billed by the number of calls (note: the number of times a User initiates a conversation, submits instructions, or uploads content does not necessarily equal the actual number of calls. OpenClaw may autonomously decompose tasks and, depending on request complexity, dynamically split an original task into multiple executable subtasks and trigger multiple model calls rather than a single call). Specific billing rules are displayed in the App.
Service fees are charged per "conversation/call"; specific billing and deduction rules are as shown on the product page or in the App. Based on the local time of the device, the system will automatically reset the "conversation/call" count at 00:00 on Monday of each calendar week.
Given the nature of AI technology, outputs of the Service may be incomplete, inaccurate, or inapplicable due to data source limitations, algorithmic limitations, model bias, or other reasons. Results are for reference only; you should independently evaluate their accuracy and applicability and seek professional advice when necessary. To the extent permitted by law, SwitchBot is not liable for any direct or indirect losses arising from your reliance on Service outputs.
1.2 The available service plans may vary by country/region. Upon subscription expiry, we will automatically renew the User’s subscribed plan and charge the payment method the User provided at the time of subscription.
A monthly billing cycle is 30 days. If the User does not cancel before the end of the billing cycle, we will automatically renew the service and charge for the next cycle on the day the current cycle ends.
During the service period, data records are retained on a rolling basis for the most recent 30 days; data older than 30 days will be overwritten as time advances.
1.3 If the User activates a plan, payment must be made through the app store, and payment information is stored by the third party providing the billing service.
Users are responsible for keeping their payment details current. If a payment method expires or becomes invalid and the User does not update or cancel the subscription, the User authorizes us to cancel the subscription before the next billing date.
1.4 If the User has enabled auto-renewal, we will automatically charge the User’s payment method on the subscription date (for free trial users, on the day the free trial ends) on a monthly basis.
1.5 To avoid being charged for the next billing cycle, Users must cancel at least 3 calendar days before the next billing date. If cancellation occurs on or after the next billing date, cancellation will take effect on the following billing date, and the User will be responsible for charges for that billing cycle.
1.6 When you first bind an AI Hub device and use OpenClaw one-click setup, we may grant up to one month of free AI Agent Plan trial service. Trial "conversation/call" limits are set by the system. We reserve the right to cancel or modify such promotional offers at any time.
1.7 The Service provides network services only. Users are responsible for devices used to access the Service (e.g., PCs, mobile phones, or other Internet- or mobile-network-connected devices) and any related costs (e.g., telephone or data charges).
1.8 You may bind multiple devices (including but not limited to AI Hub) under the same account. The Service is enabled for all devices under that account; no separate registration or purchase is required. If you disable the Service, it will stop on all devices bound to your account. When you re-enable the Service, this Agreement and the related privacy policies will be presented again for your review and acceptance.
1.9 When you first open any device under your account, we will present this Agreement and the related privacy policies for your review and consent. By checking "agree," you consent on behalf of all existing and future devices bound to your account. The system will not repeat the presentation of this Agreement each time you open a device or enable the Service on other devices under the same account.
2. Ownership
2.1 The User acknowledges that SwitchBot or its licensors hold all legal rights, title, and interest in the Service (including but not limited to graphics, user interfaces, scripts, software, and text used to deliver the Service) and any software provided as part of or in connection with the Service ("Software"), including all intellectual property rights therein, whether registered or unregistered and wherever located. The User agrees that proprietary and confidential material in the Service (including the Software and other components) is protected by intellectual property and other laws (including copyright). The User will not use such proprietary materials except as expressly permitted by this Agreement. Except as expressly permitted herein, no part of the Service may be reproduced in any form.
2.2 SwitchBot reserves full, indivisible ownership and intellectual property rights in all content, materials, text, software, music, audio, photos, graphics, videos, user registration data, or other materials (collectively "Content") provided as part of or related to the Service, except for content uploaded or distributed by Users.
3. Representations and Warranties
3.1 The User warrants that any content uploaded to the Service shall not, directly or indirectly:
3.1.1 Remove, conceal, or alter any patent, copyright, trademark, or other proprietary notices displayed on or contained in the Service;
3.1.2 Interfere with or attempt to interfere with the normal operation of the Service or any part or function of SwitchBot’s websites or App;
3.1.3 Circumvent, attempt to circumvent, or claim the ability to circumvent any content protection mechanism or Service metering tools;
3.1.4 Use any registered or unregistered SwitchBot trademarks, logos, URLs, or other symbols in written or graphic form without prior written consent from SwitchBot;
3.1.5 Use any SwitchBot logo in a way that tarnishes, dilutes, or harms the rights of the logo owner or grants any rights contrary to this Agreement unless expressly authorized in writing by SwitchBot;
3.1.6 Falsely assume another person’s identity to gain unauthorized access to the Service.
If the User breaches any of the foregoing warranties, SwitchBot may issue warnings, block content, or disqualify the User. If the User’s breach causes losses to SwitchBot, other Users, or SwitchBot’s partners, the User shall bear all legal responsibility and indemnify all losses.
3.2 The User warrants:
3.2.1 The User has obtained written authorization from any rights holder necessary to upload, publish, transmit, or otherwise distribute content via the Service and has resolved any internal arrangements related to the allocation of rights and benefits; the User guarantees full, complete, unimpaired, and exclusive ownership and intellectual property rights over such content before submitting it to the Service.
3.2.2 Content uploaded, published, transmitted, or otherwise distributed via the Service will not contain information that violates national laws, regulations, or policies.
3.2.3 The User will not use the Service for illegal purposes or use the Service to infringe SwitchBot’s commercial interests, including publishing commercial advertisements that are not authorized by SwitchBot; the User will not use the Service in any manner that negatively affects the normal operation of the Internet or mobile networks.
3.2.4 The User will not use the Service to:
- Access computer information networks or network resources without authorization;
- Delete, modify, or add computer network functions without authorization;
- Delete, modify, or add data or applications stored, processed, or transmitted in computer information networks without authorization;
- Intentionally create or propagate computer viruses or other destructive programs;
- Commit other acts that endanger the security of computer information networks.
3.2.5 If content uploaded, published, transmitted, or otherwise distributed by the User infringes third-party rights (including but not limited to patent, trademark, copyright and neighboring rights, portrait rights, privacy rights, reputation rights, etc.) and leads to complaints, reports, inquiries, claims, or litigation against SwitchBot or SwitchBot’s partners, or causes reputational or financial loss to SwitchBot or its partners, the User shall promptly take all reasonable measures to indemnify SwitchBot and its partners and shall bear full financial responsibility for any direct or indirect losses.
3.2.6 The User shall not abuse the Service. SwitchBot reminds the User that any content uploaded, posted, or sent via the Service—whether public or private—is the sole responsibility of the content provider or sender. The Service cannot control content transmitted through it and cannot guarantee the legality, correctness, completeness, truthfulness, or quality of such content. The User acknowledges that they may encounter offensive or inappropriate content and agrees to make independent judgments and assume all risks without reliance on the Service.
3.2.7 If SwitchBot discovers—via notification, report, or other means—that the User’s conduct in using the Service violates this Agreement or applicable laws of the User’s jurisdiction, SwitchBot may, at its sole discretion and without prior notice, immediately suspend or terminate some or all Service features and require the User to correct the violation or take any measures SwitchBot deems necessary (including modifying or deleting uploaded content, or suspending or terminating the User’s access) to mitigate the impact. If the User distributes content that is seditious, pornographic, or otherwise unlawful, system records of the Service may be used as evidence of legal violations. The User bears full responsibility for any third-party claims or losses arising from such content.
4. Intellectual Property Protection
If User-uploaded content is made available for download, viewing, listening, or other access or distribution by other Users, the User must ensure that publishing and distribution comply with applicable intellectual property laws, including but not limited to:
4.1 Upon receiving an infringement notice, the User must promptly remove or disable access to the identified infringing content and contact the notifier to obtain details.
4.2 The User acknowledges and agrees that SwitchBot will handle qualified infringement notices in accordance with relevant laws and regulations and will remove or disable access to the identified infringing content as required, and adopt and implement appropriate policies to prevent repeat infringement where applicable.
5. Disclaimer
5.1 Due to the nature of network services, Users understand and agree that network failures not intentionally caused by SwitchBot may result in partial or complete modification, interruption, or termination of services. Once SwitchBot discovers and verifies a network failure, it will notify Users where practicable; SwitchBot is not liable to any User or third party for such failures.
5.2 The Service may require periodic or non-periodic maintenance of platforms or related equipment. Reasonable interruptions resulting from such maintenance do not create liability for SwitchBot, although SwitchBot will provide notice where practicable.
5.3 Disputes or losses arising from a User’s authorization of third parties (including third-party apps) to access or use content in the User’s Service space are the User’s responsibility and are unrelated to SwitchBot.
5.4 Any third-party service integrations and interactions are subject to this Agreement. SwitchBot is not responsible for any express or implied warranties of third-party services and will not provide maintenance or technical support for them. Disputes, risks, or losses arising from third-party services must be resolved between the User and the third party; SwitchBot bears no responsibility. If SwitchBot determines that a third-party service poses security risks, violates this Agreement, or may harm User experience, SwitchBot may suspend or terminate that integration immediately without liability.
5.5 SwitchBot is not liable for damages resulting from (including but not limited to):
(1) scheduled maintenance;
(2) natural disasters such as earthquakes, typhoons, floods, storms, or pandemics; war, civil unrest, or riots;
(3) orders from administrative or judicial authorities;
(4) User device failures;
(5) client environment defects;
(6) User misconfiguration of the service environment or computer systems;
(7) network line failures connecting to cloud services;
(8) User improper operation;
(9) third-party attacks and cheating.
5.6 No guarantee is made regarding the accuracy, reliability, or applicability of AI recognition, analysis, or decision-making functions. AI models may be affected by environmental factors (e.g., lighting conditions, camera angle, occlusions), technical limitations, or data biases. Users understand and agree that AI recognition results may include false positives and false negatives. Users should corroborate results with other information and bear the risks of relying on AI outputs.
6. Miscellaneous
6.1 SwitchBot reserves the right of final interpretation of this Agreement.
6.2 This Agreement takes effect upon publication. SwitchBot may revise this Agreement at any time and post the revised version on the SwitchBot website or App. If you disagree with any modification, you may stop using the Service. Continued use of the Service constitutes acceptance of the revised terms.
6.3 Notices to Users under this Agreement may be delivered via means including but not limited to announcements or email; such notices are deemed delivered on the date sent.
6.4 This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and does not confer any rights other than those expressly provided.
6.5 If any provision of this Agreement is wholly or partly invalid or unenforceable for any reason, the remaining provisions shall continue in full force and effect.
